You acknowledge that you are solely responsible for ensuring that any communications sent using the Services comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and similar regulations.

DirectAxess acts solely as a technology provider and does not initiate communications on your behalf.

6. Messaging Use Restrictions (No Affiliate Marketing)

DirectAxess strictly prohibits the use of the Services for affiliated marketing, lead generation, lead resale, traffic aggregation, or messaging on behalf of third parties.

Customers may only use the Services to communicate with individuals regarding the Customer’s own business, products, or services, where a direct and identifiable relationship exists between the sender and the recipient.

The use of shared, purchased, rented, scraped, or third-party contact lists is expressly forbidden.

Campaigns involving affiliate offers, partner promotions, proxy messaging, or communications intended to benefit multiple brands or entities are not permitted.

DirectAxess reserves the right to suspend or terminate any account or messaging campaign that, in its sole discretion, violates these restrictions or carrier requirements.

7. Fees and Payment

Certain Services may require payment of fees. You agree to pay all applicable fees in accordance with the pricing and billing terms presented at the time of purchase. Fees are non-refundable except as required by law or expressly stated otherwise.

7. Intellectual Property

The Services, including all software, content, trademarks, and logos, are owned by or licensed to DirectAxess and are protected by intellectual property laws. No rights are granted except as expressly stated in these Terms.

8. Confidentiality

You agree to maintain the confidentiality of any non-public information obtained through the Services and to use such information solely for authorized purposes.

9. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIRECTAXESS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

12. Indemnification

You agree to indemnify and hold harmless DirectAxess from any claims, damages, losses, and expenses arising out of your use of the Services or violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
